4. Service Agreements and Contracts

4.1 Contract Terms

• All services require a written agreement or signed proposal
• Minimum contract period is typically 3 months for optimal results
• Contract terms, pricing, and deliverables will be outlined in the service agreement
• Changes to the scope of work require written approval from both parties

4.2 Service Commencement

• Services begin after receipt of signed agreement and initial payment
• Timeline and deliverables will be communicated clearly
• Client must provide necessary access and materials for service delivery

5. Payment Terms

5.1 Payment Schedule

• Payment terms are typically monthly in advance
• Setup fees (if applicable) are due before service commencement
• Ad spend budgets for PPC campaigns are separate from service fees
• Invoices are payable within 7 days of receipt

5.2 Late Payments

• Late payment may result in service suspension
• A late fee of 2% per month may be applied to overdue amounts
• Services will resume upon payment of outstanding amounts

6. Client Responsibilities

Clients agree to:

• Provide accurate and complete business information
• Grant necessary access to websites, social media accounts, and advertising platforms
• Respond to requests for information in a timely manner
• Review and approve content and campaigns as required
• Comply with platform policies and terms of service
• Maintain professional communication standards

7. Intellectual Property

7.1 Client-Owned Materials

• Clients retain ownership of their business logos, trademarks, and existing content
• Clients grant Lotus Support license to use their materials for service delivery

7.2 Lotus Support-Created Materials

• Content, graphics, and materials created by Lotus Support become client property upon full payment
• Lotus Support retains the right to use work samples for portfolio and marketing purposes
• Proprietary methods, strategies, and processes remain property of Lotus Support

8. Results and Performance

8.1 No Guarantee of Results

While Lotus Support strives to achieve the best possible results:

• We cannot guarantee specific rankings, traffic, or conversion numbers
• Digital marketing results depend on various external factors
• Search engine algorithms and platform policies may change
• Market conditions and competition affect performance

8.2 Reporting and Analytics

• Regular performance reports will be provided as agreed
• Clients have access to campaign data and analytics
• Reporting frequency and format will be specified in the service agreement

9. Termination

9.1 Termination by Client

• 30 days written notice required for termination
• All outstanding invoices must be paid
• No refunds for services already performed

9.2 Termination by Lotus Support

• We may terminate services for non-payment or breach of terms
• 30 days notice will be provided when possible
• Client access and materials will be provided upon final payment

10. Limitation of Liability

Lotus Support's liability is limited to:

• The total amount paid for services in the 12 months preceding the claim
• Direct damages only; no liability for indirect, consequential, or punitive damages
• We are not liable for third-party platform changes or penalties
• Force majeure events beyond our reasonable control

11. Confidentiality

Both parties agree to:

• Keep confidential information secure and private
• Not disclose sensitive business information to third parties
• Use confidential information solely for service delivery
• Return or destroy confidential materials upon termination

12. Dispute Resolution

In case of disputes:

• Parties will first attempt resolution through good faith negotiation
• Disputes will be governed by the laws of Rajasthan, India
• Courts in Jaipur, Rajasthan will have jurisdiction
• Mediation may be pursued before litigation

13. Changes to Terms

Lotus Support reserves the right to modify these terms and conditions at any time. Clients will be notified of material changes, and continued use of services constitutes acceptance of updated terms.
